Abstract
OVERVIEW Educational Funding of the South submitted a proposal to address certain counterparty exposures in its 1993 master trust following counterparty criteria changes Standard & Poor's published on Dec. 6, 2010. Standard & Poor's rates only the series 2002 and 2003 notes from this trust. Educational Funding of the South has terminated a guaranteed investment contract in the 1993 trust, thereby removing the relevant counterparty exposure. We have therefore determined that no further action is necessary to maintain the ratings on the series 2002 and 2003 notes.
