Viterra Inc.'s Proposed Senior Unsecured Notes Rated ?BBB-?; CCR Unchanged At ?BBB-?

Abstract
We are assigning our 'BBB-' issue-level rating to Viterra Inc.'s proposed US$400 million senior unsecured notes. We are also assigning our 'BBB-' rating to Viterra's Canadian shelf prospectus for up to C$500 million of senior unsecured notes. At the same time, we are withdrawing our 'BBB-' ratings on the company's proposed C$500 million senior unsecured notes that it never issued because of market conditions. The 'BBB-' long-term corporate credit rating and stable outlook on Viterra are unchanged. The stable outlook reflects our expectation that Viterra will preserve its investment-grade capital structure while executing complementary acquisitions.
