Amgen to Acquire Bergamo for $215m - Deal Analysis from GlobalData

Summary

Amgen, a biotechnology company headquartered in the US, announced on April 8, 2011 that it was acquiring Laboratorio Bergamo (Bergamo), a Brazilian pharmaceutical company, for $215m. Additionally, Amgen has entered into an agreement to reacquire the rights to three therapeutics, two of which are currently approved in Brazil, which it had previously sold to the Brazilian company Mantecorp, subsequently acquired by Hypermarcas. With these two moves, Amgen is expanding strategically into an important emerging market and is gaining established infrastructure and approved molecules. This will save time and reduce costs in the future.

Scope

- Amgen announced on April 8, 2011 that it was acquiring the successful Brazilian pharmaceutical company Bergamo for $215m. This is part of a wider strategy to enter emerging markets that has also involved an agreement to reacquire the rights to three therapeutics from Hypermarcas in Brazil, two of which are currently approved in the country. These are Vectibix (panitumumab), Mimpara (cinacalcet) and romiplostim (currently under review for approval by the Brazilian regulatory body ANVISA, the National Health Surveillance Authority, and registered as Nplate in the US). With these two moves, Amgen is gaining an established infrastructure, including facilities in Sao Paulo, and approved molecules in an important developing market, positioning them well to take full advantage of the opportunities for the increased revenue that this offers
