Abstract
U.S.-based Headwaters Inc.'s operating performance has been weaker than we expected. We believe the company likely will continue to underperform, given our expectation for weak construction markets in 2012. We are affirming our ratings on the company, including the 'B' corporate credit rating. At the same time, we are revising the outlook to negative. The negative outlook reflects our assessment that Headwaters' operating performance likely will be strained over the next several quarters.
