Coffeyville Resources Corporate Credit And First-Lien Debt Ratings Affirmed; Second-Lien Debt Cut to 'B+', Off Watch Dec 11

Abstract
Kansas-based independent petroleum product refiner and fertilizer producer Coffeyville Resources is issuing $200 million of additional first-lien debt and upsizing its unrated senior secured revolving credit facility to $400 million from $250 million in conjunction with its previously announced acquisition of Gary-Williams Energy Corp. The acquisition will expand Coffeyville's asset diversity and increase its throughput and complexity, but also increase leverage. We are affirming our 'B+' corporate credit rating on Coffeyville and our 'BB' rating on its first-lien senior secured notes. We are lowering our rating on the second-lien secured notes to 'B+' from 'BB-' and removing it from CreditWatch with negative implications.
