Reciprocal Easement Agreements establish a framework for shopping centers, industrial and office parks, and mixed-use projects, enabling them to operate as a unified development. The parties owning the parcels that comprise the overall property, and sometimes the major (anchor) tenants, enter into a written agreement to provide for reciprocal easements, construction and operating agreements, layout, parking ratios, and other essential elements in a form of private zoning arrangement to govern dimensions of buildings, permissible uses, hours of operation, and other matters.The panelists address why REAs are necessary, goals for the respective parties, forms commonly used, traps for the unwary, and practical solutions to resolve common issues in negotiating, as well as tips when representing parties to a prospective REA.
